34.7Liability of GeneralPartnersPat McGowan Val Somers and BrentRobertson were general partners of Vermont Place a limitedpartnership formed for the purpose of constructing duplexes on anundeveloped tract of land in Fort Smith Arkansas. The generalpartners appointed McGowan and his company Advance DevelopmentCorporation to develop the project including contracting withmaterials people mechanics and other suppliers. None of thelimited partners took part in the management or control of thepartnership. Eight months later Somers and Robertson discoveredthat McGowan had not been paying the suppliers. They removedMcGowan from the partnership and took over the project. Thesuppliers sued the partnership to recover the money owed them.
